Terms of Service
Last updated: October 16, 2026
These Terms govern your use of the mazzlabs.xyz website, the client portal at app.mazzlabs.xyz, MazzLabs Cloud at mazzlabs.cloudworkstations.com, and services provided by MazzLabs Technology Services LLC, a Wyoming limited liability company ("MazzLabs", "we", "us"). By using them, you agree to these Terms. If you have a signed agreement with us, that agreement controls wherever it differs from these Terms, except that for MazzLabs Cloud the wording more protective of our cloud provider applies (see section 5).
1. Our services
We provide custom software development, infrastructure and deployment, maintenance and support, technical consulting, backup and restore solutions (including for IBM Maximo Application Suite on Red Hat OpenShift), VMware vCenter provisioning and OS imaging through CloudForge, and cloud workstations through MazzLabs Cloud (see section 5). The specific work, price, and schedule for any engagement are defined in a signed agreement or written scope.
We also operate software products, including SpellSend, ReplyForge, Provefy, and DeployVault. Additional terms published on those products' own websites apply when you use them.
Some of our software, such as CloudForge and DeployVault for OpenShift, can be deployed in your own environment, including on-premises and air-gapped networks. Your use of software deployed in your environment is governed by the license and terms in your agreement.
2. Inquiries and project requests
Sending a message or a project request does not create an engagement or any obligation on either side. Any estimate we give before a signed scope is informational. Work begins only once both parties sign an agreement or approve a written scope.
3. Client portal accounts
We create a portal account when you request one on our project form or when we invite you. You are responsible for keeping your credentials secure, for activity under your account, and for telling us promptly about any unauthorized access. We may suspend or close accounts that violate these Terms or your agreement.
The portal lets you follow project status and milestones, comment on projects and share files with us, submit and track support tickets, view quotes and invoices, and download documents. We may change portal features over time.
4. Invoices and payments
Payment terms are set by your agreement. Invoices may include a link to pay through a third-party payment provider; those payments are also subject to that provider's terms. We do not store your full card or bank account details. A payment is recorded as received once it has settled with us.
5. MazzLabs Cloud (cloud workstations powered by V2 Cloud)
What it is. MazzLabs Cloud provides cloud workstations: virtual Windows desktops that your team signs in to from a browser or the cloud workstation apps at mazzlabs.cloudworkstations.com. The service runs on the platform of V2Cloud Solutions, Inc. ("V2 Cloud"), a desktop-as-a-service provider founded in 2012 and based in Quebec, Canada (v2cloud.com). MazzLabs is an authorized V2 Cloud managed service provider (MSP) partner: we sell, set up and support MazzLabs Cloud, and V2 Cloud operates the underlying cloud. MazzLabs does not own or develop the V2 Cloud platform; V2 Cloud and its related names and logos are trademarks of V2Cloud Solutions, Inc.
MazzLabs Cloud is a workstation service only. Through it, MazzLabs does not host servers, websites, databases or applications for you, and does not run software or services that process your business data. Your users sign in to their own desktops and decide what they install, open and store there, the same way they would on a computer in your office. The files they keep on a workstation are still stored on V2 Cloud's infrastructure, so sections 5.6 and 5.7 apply to them.
This section applies to everyone who uses MazzLabs Cloud, including your employees and anyone else who accesses it through your account ("your users"). It applies in addition to any signed agreement with us; if that agreement differs, the wording more protective of V2 Cloud governs MazzLabs Cloud.
5.1 Who is responsible for what
MazzLabs is your provider and your single point of contact. We:
- Sell and bill your MazzLabs Cloud plan and keep your account in good standing with V2 Cloud
- Create and configure your workstations, users and access settings, and install the software you ask for, as agreed in your plan or scope
- Provide first-line support for MazzLabs Cloud, and escalate to V2 Cloud through its support process when a problem is on the platform side
- Administer your account, including adding and removing users and changing plans at your request
- Enforce the rules in this section and act on security issues you report to us
V2 Cloud operates the infrastructure: its data centers, servers, network, virtualization platform, the cloud workstation portal and apps, platform-level security, and the daily backups included in your plan. V2 Cloud has no direct support relationship with you; contact MazzLabs first. If you contact V2 Cloud directly, it will refer you back to us.
You are responsible for your users and their actions, your account credentials, the data, software and other content you or your users put on the service ("your content"), licensing that software, and the security settings, encryption and backups of your content.
5.2 V2 Cloud's terms also apply
By using MazzLabs Cloud you, and each of your users, also agree to V2 Cloud's Terms & Conditions, Acceptable Use Policy, Privacy Policy and Data Processing Addendum, as V2 Cloud updates them. If anything in these Terms conflicts with those documents as they relate to MazzLabs Cloud, the provision more protective of V2 Cloud applies. Nothing in these Terms or in your agreement with us gives you greater rights against V2 Cloud than its own terms provide.
5.3 Your account and permitted use
- MazzLabs Cloud is licensed to you for your internal business use only, on a limited, revocable and non-transferable basis. You may not resell, sublicense, rent or share it with anyone outside your organization.
- You confirm that the information you give us is accurate, that you and each of your users are at least 18 years old, and that you have authority to accept these Terms for your organization.
- Credentials are for your internal use only and may not be sold, transferred or shared. You are responsible for all activity under your account and must tell us immediately about any unauthorized access.
- You must make sure your users follow this section and V2 Cloud's Acceptable Use Policy. You must tell us as soon as you learn that a user has broken them, and cut off that user's access.
5.4 Prohibited activities
In addition to section 6, you and your users must not:
- Access or use any system, network or device without authorization, or probe, scan or test the vulnerability of any system or network, or bypass security or authentication controls
- Monitor or intercept data or traffic on any network or system without permission
- Forge TCP/IP packet headers, email headers or any part of a message to hide its origin or route, or impersonate a sender without permission
- Run open proxies, open mail relays or open recursive DNS servers
- Get around any usage, access or storage limit of the service
- Launch denial-of-service attacks, mail bombing, news bombing, broadcast attacks or flooding, or monitor or crawl a system in a way that impairs it
- Mine cryptocurrency
- Run bots, spiders or other automated systems that send more requests than a person using a normal browser could
- Send unsolicited mass email or messages, promotions or solicitations, or collect replies to such messages through another provider in breach of its policies
- Use the service unlawfully, including in breach of data protection, privacy, anti-bribery, anti-spam, export control or sanctions laws
- Use the service to build a competing product or service, or give a competitor of V2 Cloud access to it
- Attempt unauthorized access to the service or its related systems or networks
- Modify, translate, adapt or create derivative works of the service, or reverse engineer, decompile or try to derive its source code, except where the law expressly allows it
- Tamper with license activation or pre-installed software, including the operating system, or try to avoid service charges
- Infringe anyone's copyright, trademark, patent, trade secret or other intellectual property rights
We or V2 Cloud may investigate any suspected violation, remove or disable content that breaks these rules, and suspend or terminate the user or account immediately. We report violations to V2 Cloud, and either of us may report suspected illegal activity to the authorities. You must report any violation you become aware of and cooperate in fixing it.
5.5 Software licensing
You must properly license the operating system and all software on your workstations under each manufacturer's terms. In particular, V2 Cloud is not authorized to license desktop versions of Microsoft Windows; you must license Windows yourself in line with Microsoft's licensing rules. Microsoft software used on shared (non-dedicated) hardware requires Software Assurance or an active license subscription for each eligible product, and you must comply with Microsoft's applicable terms. You agree to cooperate with license audits and to pay for any additional licenses found to be in use. Workstations or Microsoft software found to be improperly licensed may be suspended or terminated. We can help you choose the right licensing; licensing purchased through us is listed in your plan or invoice.
5.6 Your content and sensitive information
Your content remains yours. You are solely responsible for it, for its technical operation, and for having all rights needed to use it on the service and to grant the rights in these Terms. MazzLabs Cloud is not designed to process or manage sensitive information, and you agree not to use it to collect, manage or process sensitive information. Neither MazzLabs nor V2 Cloud is liable for any consequence of using the service for sensitive information. Using third-party software or content on your workstations is your choice and is subject to that provider's terms; neither MazzLabs nor V2 Cloud screens, endorses or is responsible for it.
5.7 Personal data, privacy and data location
You are the controller of personal data you or your users place in MazzLabs Cloud. V2 Cloud processes it as a data processor under its Data Processing Addendum, in the data center region selected for your account, using the infrastructure providers and sub-processors listed in its Privacy Policy. You consent to that processing and to the resulting transfer of data across international borders, including to Canada and the United States, under the standard contractual clauses in V2 Cloud's DPA. You must comply with all data protection laws that apply to you; keep appropriate privacy notices, consents and ways to handle data subject requests; and you are solely responsible for the accuracy, quality and legality of the personal data and for having every consent and right needed for V2 Cloud to process it. V2 Cloud may change its sub-processors; changes are deemed accepted unless you send us a reasonable objection within 30 days, and if V2 Cloud cannot accommodate it your remedy is to cancel the service.
5.8 Remote access for support
When you ask for support, you authorize MazzLabs and, where an issue is escalated, V2 Cloud's authorized staff to access your workstations and account dashboard to diagnose and fix the issue, keep the platform stable and secure, apply required updates and apply security hardening. Access follows least-privilege principles and is logged. V2 Cloud's support replies to us may be prepared with the help of AI tools; V2 Cloud states that it does not use customer content to train external AI models without consent.
5.9 Backups and availability
Daily backups are included according to your plan; their frequency, retention and restore process depend on the plan you choose, and changing plans may change them. Backups and restores are not guaranteed, and neither MazzLabs nor V2 Cloud is liable for any loss of data, however caused. You remain responsible for keeping your own backups of data you cannot afford to lose. V2 Cloud uses commercially reasonable efforts to target a monthly uptime of 99.95% for the parts of the service within its control and may perform maintenance. Outages caused by third parties, such as your firewall or internet provider, do not count. V2 Cloud does not guarantee that its IP addresses will be whitelisted or treated as residential by other services; blocks by third parties are outside its control. Service credits, response times and uptime commitments apply to you only where your agreement with us states them, and credits are never paid in cash. Trial and beta features are provided "as is", without any uptime commitment, and trial data is permanently deleted at the end of the trial unless you move to a paid plan or export it first.
5.10 Security and direct action by V2 Cloud
Keep your account and workstations secure and tell us immediately if you suspect unauthorized access. We report security incidents to V2 Cloud within 24 hours, and you agree to cooperate fully with the investigation. To stop a violation of its acceptable use rules, contain a security incident, personal data breach or threat to platform stability, or comply with a court order or a legal or regulatory request, V2 Cloud may investigate, contact you or your users directly, or suspend a user or account without prior notice from us.
5.11 Fees, payment and taxes
- MazzLabs Cloud plans are billed by MazzLabs, monthly or annually in advance, at the prices in your plan or quote. New plans and plan changes are prorated. Invoices are due on receipt.
- You have three business days to dispute an invoice; after that it is accepted. Past-due amounts accrue interest at 1.5% per month (18% per year) or the highest rate the law allows, if lower, and you are responsible for reasonable collection costs and attorney fees.
- Fees are non-cancellable and non-refundable, except where the law requires otherwise. If a payment is overdue or fraudulent, we may suspend or cancel your workstations and access, which may result in deletion of your data, and a reactivation fee may apply. You pay your own bank and payment fees.
- We will give you at least 30 days' notice before raising prices or adding new fees; increases apply from your next renewal.
- Prices exclude taxes. You are responsible for applicable taxes and must provide any tax exemption certificate. If you must withhold tax, you will gross up the payment so we receive the full amount.
5.12 Term, cancellation and suspension
- Monthly plans can be cancelled at any time and end at the end of the current billing month. Annual plans renew automatically for another 12 months unless either party gives notice at least 30 days before the renewal date.
- If you cancel an annual plan early, or we end it because of your material breach (including non-payment), prepaid fees are not refunded and any remaining installments for the term become due immediately.
- We or V2 Cloud may suspend all or part of the service for suspected unlawful use, abuse, a court order or a security incident. During an active paid term, commercially reasonable efforts will be made to give you 30 days to back up your data before it is removed.
- We may end MazzLabs Cloud on notice if V2 Cloud ends or restricts the service, if our partnership with V2 Cloud ends, or if continuing would be unlawful, impractical or a material security risk. We will give you as much notice as we can and help you move your data.
5.13 Deletion of data when service ends
Before you cancel, or before your plan ends, export any data you want to keep; we can help. When MazzLabs Cloud service ends for any reason, including cancellation, non-payment or termination for a breach, your workstations and all data on them are permanently deleted, generally within seven days or at the end of your plan's backup period, and cannot be recovered. Copies may remain only where the law requires it or in V2 Cloud's routine archival backups, which are deleted on their normal schedule. Fees remain payable up to the date service ends.
5.14 Changes to the cloud service
V2 Cloud may update, change or discontinue features of its platform, and may update its own terms and policies. If a change materially reduces what you rely on, your remedy is to cancel MazzLabs Cloud; tell us in writing and we will help you move your data.
5.15 Suggestions and intellectual property
The V2 Cloud platform, its software, technology and documentation are owned by V2 Cloud and its licensors. You receive only the right to use the service as described here. Any ideas or suggestions you give about the service may be used by MazzLabs and V2 Cloud without restriction or payment.
5.16 Disclaimer and limitation of liability for the cloud service
MazzLabs Cloud and the V2 Cloud platform are provided "as is" and "as available". To the maximum extent permitted by law, MazzLabs and V2 Cloud disclaim all warranties, including that the service will be uninterrupted, error-free, secure, or free of harmful components, or that content will not be lost or damaged. Neither MazzLabs nor V2 Cloud is liable for indirect, incidental, special, consequential or exemplary damages, including loss of profits, revenue, goodwill, use or data, or for any damages arising from suspension or termination of the service, discontinuation of features, unscheduled downtime, the cost of substitute services, your investments or commitments, or unauthorized access to, or loss or deletion of, your content. V2 Cloud has no liability to you under these Terms. MazzLabs's total liability is limited as described in section 10.
5.17 Indemnity
You will defend, indemnify and hold harmless MazzLabs and V2 Cloud, and their affiliates, licensors, officers, employees and contractors, against any third-party claim, damage, loss, cost or expense (including reasonable attorney fees) arising from: your or your users' use of MazzLabs Cloud; a breach of this section or of V2 Cloud's terms; a violation of law by you or your users; your content, including any claim that it infringes someone else's rights; unlicensed software; the deletion of your data when service ends under section 5.13; or a dispute between you and any of your users. You will also cover reasonable costs of responding to subpoenas or other legal orders relating to your account. The party being indemnified may choose to control its own defense, and you may not settle a claim that affects it without its written consent.
5.18 Compliance, sanctions and V2 Cloud's rights
You confirm that neither you nor any of your users is on a U.S., Canadian or other applicable sanctions list, and that you will not use or give access to MazzLabs Cloud in breach of export control or sanctions laws. You agree to comply with applicable anti-bribery and anti-corruption laws in your use of the service. V2 Cloud is an intended third-party beneficiary of this section 5 and may enforce it directly. Events beyond our or V2 Cloud's reasonable control, such as power or network failures, natural disasters or government action, excuse delays or failures they cause. Sections 5.6, 5.7, 5.11, 5.13, 5.15, 5.16, 5.17 and this section survive the end of your MazzLabs Cloud service.
6. Acceptable use
You agree not to:
- Use our services or systems for any unlawful purpose
- Upload or transmit malicious code or harmful content
- Attempt to gain unauthorized access to our systems, other accounts, or infrastructure
- Reverse-engineer or attempt to extract source code from our platforms, except as your agreement allows
- Abuse shared infrastructure, including excessive automated requests, cryptocurrency mining, or scraping
- Send unsolicited or abusive communications through our systems or email services
- Violate the policies of the third-party providers our services depend on
- Share your account credentials with anyone not authorized to use them
We may suspend access immediately, without prior notice, to stop a violation of this section that threatens our systems, other clients, or third parties.
7. Intellectual property
Our platforms, products, internal tools, and the methods and code we developed before or independently of your engagement remain our property. Ownership of work we create specifically for you is governed by your agreement. Your data and content remain yours, and we use them only to provide the services.
8. Support
Support is provided through the client portal and email, Monday to Friday, 9am to 6pm Eastern Time, excluding U.S. federal holidays. We aim to reply within one business day, but response and resolution times are only guaranteed where your agreement includes them.
9. Third-party services
Our work often depends on services we do not control, such as cloud providers (including V2 Cloud for MazzLabs Cloud), domain registrars, payment processors, and software vendors. Except as described in section 5, we are not responsible for their availability, changes, or policies.
10. Disclaimer and limitation of liability
Except as expressly stated in a signed agreement, our website, portal, and services are provided "as is" and "as available", without warranties of any kind, express or implied.
To the maximum extent permitted by law, MazzLabs will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of revenue, profits, business, or data. Our total liability for any claim arising from these Terms will not exceed the greater of the fees you paid us in the three months before the claim, or $1,000.
11. Termination
You may stop using our website or portal at any time. We may suspend or end your access for a violation of these Terms or your agreement, or otherwise with 30 days' written notice. Termination of an engagement, including data return, is governed by your agreement.
12. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Sheridan County, Wyoming, except that either party may bring an eligible claim in small claims court. Claims must be brought individually, not as part of a class or representative action, and within one year after the claim arose.
13. Changes to these Terms
We may update these Terms. For material changes we will email active clients at least 30 days before they take effect. Continuing to use our services after that date means you accept the updated Terms.
14. General
If any provision of these Terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver of it.
