Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MazzLabs platform, client portal, website, and related services provided by MazzLabs Technology Services LLC ("MazzLabs", "we", "us"). By accessing or using our services, you agree to these Terms.

1. Acceptance of Terms

By creating an account, accessing the client portal, or using any MazzLabs service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using our services on behalf of a company, you represent that you have the authority to bind that entity to these Terms.

If you have a signed Service Agreement with MazzLabs, the Service Agreement takes precedence over these Terms in the event of any conflict.

2. Services

MazzLabs provides web platform development, hosting, and managed infrastructure services. Specific services are defined in your Service Agreement. These Terms apply to all users of the MazzLabs platform, client portal, and website.

3. Account Registration

Access to the client portal requires an invitation from MazzLabs. You are responsible for:

Use of the client portal is subject to these Terms and your Service Agreement. MazzLabs may modify portal features at any time with reasonable notice.

5. Acceptable Use

You agree not to:

MazzLabs reserves the right to suspend or terminate access immediately for violations of this section without prior notice.

6. Intellectual Property

The MazzLabs platform, including all source code, design, architecture, admin panel, and software components, is the exclusive intellectual property of MazzLabs. You receive a limited, non-exclusive, non-transferable, revocable license to use the platform for the duration of your Service Agreement.

Your data and content uploaded to the platform remain your property. See the Service Agreement and Privacy Policy for details on data handling.

7. Support and Tickets

Support tickets submitted through the client portal are responded to during business hours (Monday through Friday, 9am to 6pm EST). MazzLabs targets a response time of 2 business days but does not guarantee specific response times unless a priority support add-on is included in your Service Agreement.

Ticket content, including descriptions and replies, is stored securely and accessible to MazzLabs team members and the submitting client account.

8. Invoices and Payments

Invoices and quotes generated through MazzLabs are governed by the payment terms in your Service Agreement. The client portal provides view-only access to invoices and quotes associated with your account. PDF downloads are available for your records.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAZZLABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, PROFITS, BUSINESS, DATA, OR COST OF SUBSTITUTE SERVICES.

MazzLabs' total liability for any claim arising from these Terms or use of the platform shall not exceed the greater of: (a) the fees paid by you in the 3 months preceding the claim, or (b) $1,000 USD.

The platform is provided "as is" and "as available" without warranties of any kind.

10. Dispute Resolution

Any dispute arising from these Terms shall be resolved through binding arbitration in the State of Florida under the rules of the American Arbitration Association. Arbitration may be conducted remotely at MazzLabs' discretion. You waive the right to participate in any class action or representative proceeding.

Any claim must be brought within one (1) year of the date the claim accrued.

11. Termination

MazzLabs may suspend or terminate your access at any time for violation of these Terms, your Service Agreement, or for any reason with 30 days written notice. Upon termination, your access to the client portal and platform will be revoked. Data export provisions in the Service Agreement apply.

12. Third-Party Services

The platform may integrate with or depend on third-party services. MazzLabs is not responsible for the availability, performance, or policies of third-party services. See Section 8.1 of the Service Agreement for details.

13. Modifications

MazzLabs reserves the right to modify these Terms at any time. Material changes will be communicated via email to active account holders at least 30 days before taking effect. Continued use of the services after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.
